ACCEPTANCE OF TERMS

The following terms and conditions (the “Terms of Use”) govern your access to and use of the website at moonlightbpo.com and certain Moonlight BPO domains and sub-domains accessible through the website (such as myeasybill.com, www.moonlightbpo.com) (the “Site”), including various services and content provided by Moonlight BPO through the Site (the “Services”).

All rights not expressly granted to you in the Terms of Use are reserved by Moonlight BPO. The trademarks, logos and service marks (“Marks”) displayed on this Site are the property of Moonlight BPO or other third parties. You are not permitted to use the Marks without the prior written consent of Moonlight BPO or the third-party owner of the Marks.

ACCOUNT REGISTRATION

It is a condition of your use of the Site that all information you provide is complete, current, and accurate. All information you provide to register with the Site or otherwise is governed by our Privacy Policy, and you consent to all actions Moonlight BPO takes with respect to your information consistent with our Privacy Policy.

USE AND PROTECTION OF LOGIN CREDENTIALS
You are responsible for maintaining the confidentiality of your user name and password (“Login Credentials”), if applicable. You are responsible for all uses of your account and Login Credentials, whether or not authorized by you. You agree to notify Moonlight BPO immediately of any unauthorized access to or use of your account or Login Credentials or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use caution when accessing your account from a public or shared computer so that others are not able to view or record your Login Credentials or other personal information.

Moonlight BPO reserves the right to disable your Login Credentials at any time in its sole discretion for any or no reason, including if, in Moonlight BPO’s opinion, you have violated any provision of the Terms of Use.

UPLOADED CONTENT AND COMMUNICATIONS WITH THIRD PARTIES
Certain portions of the Site may permit you to upload content in connection with the Services (“Uploaded Content”). You hereby grant Moonlight BPO the right to use the Uploaded Content as necessary to provide the Services.

By providing Uploaded Content through the Site, you represent and warrant that:

You own, or have obtained proper permission to use, any Uploaded Content, and you have all requisite powers, rights, and authorities to use the Uploaded Content and to grant Moonlight BPO the right to use the Uploaded Content in connection with providing the Services.

PROHIBITED USES
You may use the Site only for lawful purposes and in accordance with these Terms of Use, and you agree not to:

Submit Uploaded Content that is protected by copyright, trade secret, or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Moonlight BPO all of the license rights granted herein.

Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by Moonlight BPO, may harm Moonlight BPO or Site users or expose them to liability.
Upload, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs of a destructive or otherwise malicious nature. Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site.

Attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer or database connected to the Site. MONITORING AND ENFORCEMENT
Moonlight BPO has the right to:

Take any action with respect to Uploaded Content that Moonlight BPO deems necessary or appropriate in its sole discretion, including if Moonlight BPO believes that such Uploaded Content violates the Terms of Use, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for Moonlight BPO.
Establish general practices and limits on the use of the Services, including, but not limited to, limits on retention time, file size, and storage space for Uploaded Content.
Moonlight BPO shall have no liability or responsibility for the deletion or failure to store any information or materials in connection with the Services.

Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site.
Terminate or suspend your access to all or part of the Site for any or no reason, including without limitation, any violation of these Terms of Use.
Without limiting the foregoing, Moonlight BPO may fully cooperate with any law enforcement authorities or court order requesting or directing Moonlight BPO to disclose the identity or other information of anyone posting any materials on or through the Site. YOU WAIVE AND HOLD HARMLESS MOONLIGHT BPO FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY MOONLIGHT BPO DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER MOONLIGHT BPO OR LAW ENFORCEMENT AUTHORITIES.

Moonlight BPO assumes no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Moonlight BPO has no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

LINKING TO THE SITE
You may link to the Site’s homepage, provided you do so in a way that is fair and legal and does not damage Moonlight BPO’s reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on Moonlight BPO’s part without Moonlight BPO’s express written consent.

The owner of this Site is based in the state of Oregon in the United States. Moonlight BPO makes no claims that the Site or any of its content is accessible or appropriate outside of the United States. INDEMNITY
You agree to defend, indemnify, and hold harmless Moonlight BPO, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Site or Services.

GOVERNING LAW AND JURISDICTION
The Site (excluding linked sites) is controlled by Moonlight BPO from its offices within the state of Oregon, United States of America. By accessing the Site, you and Moonlight BPO agree that all matters relating to your access to, or use of, the Site will be governed by the laws of the State of Oregon, without regard to the conflicts of laws or principles thereof. You and Moonlight BPO also agree and hereby submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Bend, Oregon.
